Terms of Service

1. Acceptance of Terms

By accessing or using Genolith's CRISPR guide RNA design platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Service Description

Genolith provides computational software for CRISPR guide RNA design, off-target analysis, and regulatory verification workflows. The Service includes:

  • Guide RNA off-target prediction and scoring
  • Huntington's Disease therapeutic research tools
  • Zero-knowledge cryptographic proof generation
  • AI-assisted protocol guidance
  • Data analysis and export capabilities

Service features and availability may vary by subscription tier and are subject to change with notice.

3. User Obligations

You agree to:

  • Provide accurate registration information and keep it updated
  • Maintain the confidentiality of your account credentials
  • Use the Service only for lawful research and therapeutic development purposes
  • Not attempt to reverse engineer, decompile, or extract source code
  • Not share account access with unauthorized parties
  • Comply with all applicable laws, regulations, and institutional policies
  • Not upload malicious code, viruses, or harmful data

4. Research Use and Limitations

The Service is intended for research and development purposes. Computational results are provided as-is for scientific evaluation and do not constitute medical advice or regulatory approval. Users are responsible for:

  • Independent validation of computational results
  • Compliance with institutional biosafety and ethics requirements
  • Obtaining necessary regulatory approvals for clinical applications
  • Ensuring proper handling of patient data and protected health information

5. Intellectual Property

Genolith retains all intellectual property rights in the Service, including software, algorithms, documentation, and trademarks. Users retain ownership of data they upload but grant Genolith a limited license to process that data for Service delivery.

Computational results generated by the Service may be used by users for research, publication, and regulatory submission. Users are responsible for proper attribution of computational tools in publications and regulatory filings.

6. Data Handling and Privacy

Genolith handles user data in accordance with our Privacy Policy. We implement security controls appropriate for genomic research data, including encryption, access controls, and audit logging. However, no system is completely secure. Users uploading sensitive or protected health information should ensure compliance with applicable regulations (HIPAA, GDPR, etc.).

7. Service Availability

We strive to maintain high Service availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, upgrades, or unforeseen technical issues. We will provide advance notice of planned downtime when possible.

8. Payment and Billing

Paid subscription tiers are billed according to the selected plan (monthly or annually). Fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice to existing subscribers.

9. Termination

Either party may terminate Service access at any time. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks. Upon termination, users may export their data within 30 days, after which data may be deleted according to our retention policy.

10. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. GENOLITH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GENOLITH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOST PROFITS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY USER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

Users agree to indemnify and hold harmless Genolith from claims arising from their use of the Service, violation of these Terms, or infringement of third-party rights.

12. Export Compliance

The Service may be subject to export control laws. Users are responsible for compliance with all applicable export regulations and may not access the Service from prohibited jurisdictions.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where Genolith is incorporated. Disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Service notification. Continued use of the Service after changes constitutes acceptance of the modified Terms.
